In these Terms and Conditions, "we", "our" and "us" means Noggin HQ LTD and "you" and "your" means any person who uses our Website. You must agree to these terms in order to use this website.
INTRODUCTION:
These Terms and Conditions explain how you can preview Noggin HQ’s “lender dashboard” to explore our Open Banking services and get a better understanding of what we offer.

WHO CAN USE OUR SERVICES?
- Business customers interested in previewing our Open Banking services.
- Prospective investors interested in previewing our Open Banking services.
Note: separate commercial contracts apply for some business customers, which may add to or override these Terms and Conditions.
1. DESCRIPTION OF SERVICES
1.1 Account creation and deletion.
- To preview our “lender dashboard”, you must create an account using a work email address. We require you to verify your email address as part of account creation.
- Once you have created an account, you are able to preview our “lender dashboard” and its related Open Banking data products (categorisation and credit score).
- You are able to delete your account via your account pages, in the “settings” tab. Alternatively, you can email support@nogginhq.co.uk to request account deletion.
1.2 Categorisation product.
- Within your account pages, under the “customers” tab, you are able to preview our categorisation product.
- Our categorisation product is an NLP model that ingests raw Open Banking transactions and categorises them into human-readable categories. For relevant transactions, the model also enriches the transaction with a “merchant name” field.
- Our categorisation product supports the interpretation of the data by individuals, the generation of useful features that can be used within modelling, or the sharing of Open Banking insights with the consent-giver (end-user).
- Our categorisation product is currently available directly via API integration.
1.3 Credit score product.
- Within your account pages, under the “customers” tab, you are able to preview our credit score product.
- Our credit score product is an Open Banking risk model that determines probability of default using transactional data.
- Providing credit references is an activity regulated and authorised by the Financial Conduct Authority. At present, the firm does not have the relevant regulatory permissions to sell our credit score product to firms, as such, it is not currently available to use or purchase in a production environment.

HOW ARE WE PAID?
Previewing our lender dashboard is free for all users who create an account.
To unlock production access to our categorisation product, you must book a call with us to agree commercial terms.
We cannot offer our credit score product today. Providing credit references is an activity authorised and regulated by the Financial Conduct Authority. Whilst we are currently undergoing an authorisation process to secure credit referencing permissions, these are not guaranteed. Should we receive credit referencing permissions, these Terms and Conditions will be updated accordingly.

4.2 Use of our Website
Our Website enables you to preview our services with synthetic data, which are available via API.
- You are only permitted to use our Website if you are a UK resident and you are using it for a work related purpose.
- You are not permitted to do anything that may affect the security of our Website or any information or material stored within it.
- You may not operate any link to our Website without first obtaining our written permission. Any such permission may be revoked without notice and we reserve the right to require you to remove any link immediately and at any time.
4.3 What are your responsibilities?
- You must keep your password confidential and it must not be disclosed to or shared with anyone. You are solely responsible for all use of your account on our Website.
- You must not misuse our Website by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to our Website, the server on which our Website is stored, or any server, computer or database connected to it.
- You agree to indemnify Noggin HQ ltd against any claims, losses, or legal fees arising from your breach of these terms or misuse of the service.
- You must use the service lawfully and not for fraud, coercion, or any criminal activity.
4.4 What are our responsibilities?
We are responsible to you for:
A. Any statements made by our employees to you which are not true statements of fact and which are made by that employee with fraudulent intent; and
B. Any statements made by our employees to you which are misleading or untrue.
C. Except in the case of (A) or (B) above (where our liability to you is unlimited), our liability to you will be limited to the upper level of our insurance limit which may vary from time to time.
D. Any claim you may have against us for a personal injury or in respect of your death if caused by our negligence.
4.5 We are not responsible to you for:
- Any losses you suffer because the information you put into our Website is inaccurate or incomplete; or
- Any losses you suffer because you cannot use our Website at any time; or
- Any errors in or omissions from our Website; or
- Any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of our Website or to your downloading of any material posted on it, or on any Website linked to it; or
- The privacy policies and practices of other linked third party Websites, even if you access them using links from our Website; or
- Any unauthorised access or loss of personal information that is beyond our control.
- Any indirect, incidental, or punitive damages.
Any service disruptions beyond our control (see Force Majeure).
5. COMPLAINTS
We set ourselves very high standards and do our utmost to maintain these high standards in everything we do. In rare situations where you may feel those standards have not been maintained we would like you to tell us as this is the only way we will be able to improve our service.

Noggin HQ LTD ("we", "our" or "us") understand how important your privacy is and we take its security seriously. Please read our Privacy Policy and Cookie Policy in conjunction with these Terms and Conditions.
7. INTELLECTUAL PROPERTY:
We are the owner or the licensee of all intellectual property rights in our Website and in the material published on it. This includes, but is not limited to, all trademarks, logos, business names, trading names, design rights, database rights, copyright and any other intellectual property rights.
You may print, download or store extracts from our Website provided always that:
- It is used solely for your personal, non-commercial use;
- You will not copy, transmit or distribute them without our prior written approval;
- All copies must retain any copyright or other intellectual property notices contained within the original material;
- You acknowledge that all images displayed on our Website are protected by copyright and may not be reproduced or appropriated in any manner without the prior written consent of their respective owner(s);
- No logos, trade marks or service marks displayed on our Website may be printed or downloaded, except as part of the text of which they form part;

These Terms and Conditions apply to your use of our Website. By accessing our Website you agree to be bound by these Terms and Conditions, together with our Privacy Policy and Cookie Policy. In the case of account creation where we enter a client contract/client service agreement, we will require an additional consent.
We reserve the right to change these Terms and Conditions from time to time and without notice. You should therefore check these Terms and Conditions each time you visit our Website.
If any part of these Terms and Conditions is subsequently considered to be illegal, invalid or unenforceable then that provision should be treated as having been deleted without affecting the validity of the remaining terms.
