In these Terms and Conditions, "We", "Our" and "Us" means Noggin HQ LTD and "You" and "Your" means any person who uses Our Website. You must agree to these terms in order to use this website.

Noggin HQ LTD is registered in England and Wales (Company number: 13409453) and Our registered address is Toffee Factory Lower Steenbergs Yard, Walker Road, Newcastle Upon Tyne, England, NE1 2DF.
Noggin HQ is an authorised Credit Reference Agency (CRA), who use Open Banking data to provide credit and risk scores.
Noggin HQ is authorised and regulated by the Financial Conduct Authority (FCA), under Firm Reference Numbers 1034631 993735, for the following activities:

These Terms and Conditions outline the services Noggin HQ offers and explains how You can preview Noggin HQ’s “lender dashboard” to explore Our Open Banking credit reference services.

2. OUR WEBSITE
Our Website enables You to preview Our services with synthetic data, which are available via API.
Our website is available to business customers interested in using Our Open Banking or Credit Referencing services.
Note: separate commercial contracts apply for some business customers, which may add to or override these Terms and Conditions.
2.1 ELIGIBILITY
In order to use the website You agree that You:

Are a UK resident

Are using Noggin’s products and services on behalf of a UK business

Will not do anything that may affect the security of Our Website or any information or material stored within it.

Will not operate any link to Our Website without first obtaining Our written permission. Any such permission may be revoked without notice and we reserve the right to request the immediate removal of any link at any time.
2.2 SUSPENSION AND TERMINATION
We reserve the right, at Our sole discretion, to suspend or terminate Your access to Our Website and services immediately, without prior notice or liability, for any reason, including but not limited to a breach of these Terms and Conditions. Upon termination, Your right to use the Website will cease immediately. We shall not be liable to You or any third party for any claims or damages arising out of any termination or suspension or any other actions taken by us.
2.3 THIRD PARTY LINKS
Our Website may contain links to third party websites or services that are not owned or controlled by Noggin HQ LTD. We assume no responsibility for the content, privacy policies, or practices of any third party websites. You acknowledge and agree that Noggin HQ LTD shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites. The inclusion of any link does not imply endorsement by Noggin HQ LTD of the site or any association with its operators.
3. NOGGIN’S PRODUCTS AND SERVICES
3.1 ACCOUNT CREATION AND DELETION

To preview Our “lender dashboard”, You must create an account using a business email address. We require You to verify Your email address as part of account creation.

Once You have created an account, You are able to preview Our “lender dashboard” and its related Open Banking data products (categorisation and credit score).

You are able to delete Your account via Your account pages, in the “settings” tab. Alternatively, You can email support@nogginhq.co.uk to request account deletion.
3.2 CATEGORISATION PRODUCT.

Within Your account pages, under the “customers” tab, You are able to preview Our categorisation product.

Our categorisation product is an NLP model that ingests raw Open Banking transactions and categorises them into human-readable categories. For relevant transactions, the model also enriches the transaction with a “merchant name” field.

Our categorisation product supports the interpretation of the data by individuals, the generation of useful features that can be used within modelling, or the sharing of Open Banking insights with the consent-giver (end-user).

Our categorisation product is currently available directly via API integration.
3.3 CREDIT SCORE PRODUCT.

Within Your account pages, under the “customers” tab, You are able to preview Our credit score product.

Our credit score product is an Open Banking risk model that determines probability of default using transactional data.
4. COMMISSIONS, FEES AND CHARGES
Previewing Our lender dashboard is free for all users who create an account.
To unlock production access to Our categorisation product, You must book a call with us to agree commercial terms and discuss pricing options.
5 RESPONSIBILITIES AND LIABILITIES
5.1 YOUR RESPONSIBILITIES

You must keep Your password confidential and it must not be disclosed to or shared with anyone. You are solely responsible for all use of Your account on Our Website.

Comply with relevant data protection legislation, including obtaining consent, where necessary.

The information You provide must be factual, up to date and not contain any misleading information

Keeping Your details accurate and up to date

Advising us of any errors

You must not misuse Our Website by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to Our Website, the server on which it is stored, or any connected server, computer, or database.

You agree to indemnify Noggin HQ ltd against any claims, losses, or legal fees arising from Your breach of these terms or misuse of the service.

You must use the service lawfully and not for fraud, coercion, or any criminal activity.
5.2 OUR RESPONSIBILITIES
Noggin HQ is responsible for:

A. Any statements made by Our employees to You which are not true statements of fact and which are made by that employee with fraudulent intent; and

B. Any statements made by Our employees to You which are misleading or untrue.

C. Except in the case of (A) or (B) above (where Our liability to You is unlimited), Our liability to You will be limited to the upper level of Our insurance limit which may vary from time to time.

D. Any claim You may have against us for a personal injury or in respect of Your death if caused by Our negligence.
We are not responsible for any independent criminal or fraudulent acts committed by employees outside the scope of their employment or in direct violation of Our internal fraud policies.
5.3 LIABILITIES
Noggin HQ shall not be liable for:

Any losses You suffer because the information You put into Our Website is inaccurate or incomplete; or

Any losses You suffer because You cannot use Our Website at any time; or

Any errors in or omissions from Our Website; or

Any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect Your computer equipment, computer programs, data or other proprietary material due to Your use of Our Website or to Your downloading of any material posted on it, or on any Website linked to it; or

The privacy policies and practices of other linked third party Websites, even if You access them using links from Our Website; or
-
Any unauthorised access or loss of personal information that is beyond Our control.

Any indirect, incidental, or punitive damages.

Any defaults, financial losses, or adverse outcomes resulting from Your reliance on, or use of, Our scoring products or associated data.
Our Credit and Risk scoring products are provided for informational and guidance purposes only and do not constitute financial, investment, or legal advice. You acknowledge that any credit decisions (including the approval or denial of credit applications) are made solely at Your discretion and risk.
5.4 LIMITATION REGARDING USER CONDUCT AND FRAUD
We shall not be liable for any fraudulent, illegal, or criminal acts committed by You or any third party using Our services. Our services are provided to assist You in Your own business operations; we do not provide, and shall not be held liable for, any monitoring, vetting, or guarantee of the legitimacy of Your customers or Your own business activities. You agree that You are solely responsible for compliance with all applicable laws, including the Economic Crime and Corporate Transparency Act 2023, and that any failure by You to prevent fraud within Your own organisation does not create liability for Noggin HQ LTD.
6. COMPLAINTS
Noggin HQ is committed to maintaining the highest standards of service and operational excellence. Should You feel that these standards have not been met, Your feedback is invaluable and essential for Our continuous service improvement.
We hope that You never need to complain, but if You do please contact us at support@nogginhq.co.uk
Your complaint will be reviewed by an impartial party not involved in the incident. We will acknowledge Your complaint within 3 working days and will provide a final response without undue delay.
A summary of Our internal process for dealing with complaints, which outlines how we will handle Your complaint both promptly and fairly, is available on request. If You are still dissatisfied then You may be entitled to refer Your complaint to the Financial Ombudsman Service (FOS).
7. PRIVACY POLICY
Noggin HQ LTD ("We", "Our" or "Us") comply with data protection legislation, including UK GDPR and the Data Protection Act (2018) and take appropriate steps to ensure the safeguarding of personal data. Please read Our Privacy Policy and Cookie Policy in conjunction with these Terms and Conditions.
8. INTELLECTUAL PROPERTY
Unless You notify us in writing, You grant us a limited right to use Your name and logo to identify You as a Noggin HQ LTD customer in Our marketing and promotional materials, including Our website and sales presentations. You may withdraw this permission at any time by contacting: support@nogginhq.co.uk
We are the owner or the licensee of all intellectual property rights in Our Website and in the material published on it. This includes, but is not limited to, all trademarks, logos, business names, trading names, design rights, database rights, copyright and any other intellectual property rights.
You may print, download or store extracts from Our Website provided always that:

We shall not be liable for any failure or delay in the performance of Our obligations under these Terms and Conditions if such failure or delay is caused by events beyond Our reasonable control (a "Force Majeure Event"),including, without limitation, acts of God, war, hostilities, riot, civil unrest, strikes, lockouts, or other industrial disputes, breakdown of systems or network access, flood, fire, explosion, or government action. Our obligations under these Terms will be suspended for the duration of the Force Majeure Event, and we will be granted an extension of time for performance equal to the period of the delay.

These Terms and Conditions apply to Your use of Our Website. By accessing Our Website You agree to be bound by these Terms and Conditions, together with Our Privacy Policy and Cookie Policy. If You do not wish to be bound by them then You should stop using Our Website immediately. In the case of account creation where we enter a client contract/client service agreement, we will require an additional consent.
We reserve the right to change these Terms and Conditions from time to time and without notice. You should therefore check these. It is Your responsibility to review these Terms and Conditions each time You visit Our Website.
If any part of these Terms and Conditions is subsequently considered to be illegal, invalid or unenforceable then that provision should be treated as having been deleted without affecting the validity of the remaining terms.

These terms also supersede any previous agreements, including previous terms and conditions of Our Website.
